Terms of Service

DEXUN AdWhiz is an AI-powered ad management SaaS platform that helps advertisers automatically optimize Google Ads, Meta Ads, and TikTok Ads campaigns — including bid adjustments, keyword management, and creative analysis.

• You must be at least 18 years old or have legal capacity in your jurisdiction.
• You are responsible for all activity under your account, including safeguarding your password and OAuth authorizations.
• Account information must be true, accurate, complete, and kept up to date.
• You may not share or transfer your account to anyone else.

When using DEXUN AdWhiz, you agree NOT to:

• Violate any applicable law or regulation;
• Infringe anyone's IP rights or privacy;
• Use the Service to run unlawful, fraudulent, or misleading ads;
• Reverse-engineer, scrape, or abuse the Service through automation;
• Interfere with the operation or security of the Service.

• DEXUN AdWhiz offers a 7-day free trial. A valid payment method (such as a credit card) is required to start the trial; you will not be charged during the trial period.
• When the trial ends, your subscription automatically begins billing and renews on your chosen plan (monthly or annual) unless you cancel before the trial ends. You can cancel anytime from the dashboard.
• Payments are processed by Stripe. All fees are as stated in your chosen plan.
• We reserve the right to adjust prices, with at least 30 days' notice to existing subscribers.

• You may cancel anytime from the dashboard. Service continues until the end of the current billing period.
• We may terminate your account for: violation of these Terms, fraud, or extended non-payment.
• After termination, we retain your data for 30 days to allow restoration, then delete it permanently.

• The DEXUN AdWhiz platform itself (code, brand, UI, AI integration) belongs to DEXUN INC.
• Content you upload or connect via OAuth (ad-account data, creatives, keywords) remains yours.
• You grant us the necessary rights to provide the Service — including sending data to LLM providers for generating recommendations.

DEXUN AdWhiz is provided "as is" and "as available". Except for the refund commitment expressly set out in the ROI Savings Guarantee Terms, DEXUN makes no other warranties of any kind, express or implied(including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement, all of which are disclaimed). AI recommendations are advisory and we do not guarantee advertising results. Outcomes depend on platform algorithms, market competition, seasonality, and other factors outside our control. DEXUN AdWhiz is not liable for your advertising ROI.

Third-party platform action.DEXUN shall not be responsible or liable for any service interruptions, data inaccuracies, or performance failures caused by major technical changes, API deprecations or overhauls, privacy or policy updates, or unannounced downtime by third-party advertising platforms (Google, Meta, TikTok). The Service depends on the continuous availability of these platforms’ APIs, which is outside our control.

Reconciliation of measured figures.Where the Service produces measured figures (such as “Measured Savings” under the ROI Savings Guarantee Terms), you have the good-faith reconciliation and dispute right set out in those terms upon discovery of a manifest technical error; absent a timely objection, the figure is deemed final.

To the maximum extent permitted by law, DEXUN AdWhiz and DEXUN INC shall not be liable for any indirect, incidental, special, punitive, or consequential damages. Our aggregate liability shall not exceed the amount you paid to DEXUN AdWhiz in the 12 months preceding the event.

IN NO EVENT SHALL DEXUN INC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOSS OF BUSINESS, LOSS OF DATA, COST OF PROCUREMENT OF SUBSTITUTE SERVICES, INTERNAL LABOR OR REMEDIATION COSTS, OR ADVERTISING SPEND ON THIRD-PARTY PLATFORMS (GOOGLE, META, TIKTOK), ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR ANY GUARANTEE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, FRAUD, MISREPRESENTATION, BREACH OF WARRANTY, OR OTHERWISE).

You agree to indemnify and defend DEXUN AdWhiz against any claims, losses, or liabilities arising from your breach of these Terms, misuse of the Service, or infringement of third-party rights.

These Terms are governed by the laws of the State of Washington, United States, without regard to its conflict-of-law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms shall be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The seat of arbitration shall be King County, Washington (where Seattle is located), before a single neutral arbitrator. The language of arbitration shall be English. The arbitration award shall be final and binding on both parties. To the maximum extent permitted under the AAA rules, the parties agree that the arbitration shall be conducted remotely by videoconference or solely on the basis of written submissions, to avoid unnecessary travel and hearing costs.

Class Action Waiver. The parties agree that all disputes will be resolved by arbitrationon an individual basis only. You and DEXUN waive any right to bring or participate in a class action, class arbitration, or representative proceeding, and claims of multiple users may not be consolidated. The arbitrator may not preside over any class or representative claim. If this Class Action Waiver is found unenforceable, the entire arbitration clause shall be void as to that claim.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief from a court of competent jurisdiction for any infringement of intellectual property rights or breach of confidentiality obligations.

Language & controlling version. These Terms and the related agreements (including the ROI Savings Guarantee Terms and the Affiliate Program Agreement) are provided in multiple languages for convenience. The English version is the official and binding version. In the event of any conflict, ambiguity, or inconsistency between the English version and any translation, the English version prevails.

We may update these Terms from time to time. Material changes will be communicated by email or in-product notice with at least 30 days' advance notice. Continued use of the Service constitutes acceptance of the new Terms.
